NON DISCLOSURE AGREEMENT ("NDA")
This Agreement is entered into as of the date of signing (the "Effective Date") between:
1. Parties
Disclosing Party: Transform-X International Limited, incorporated under the law of England and Wales, with its registered business address at 71-75 Shelton Street, Covent Garden, London, W2CH 9JQ ("Transform-X").
Receiving Party: The undersigned participant ("Client") who has purchased or enrolled in Find your Fire™, the Mythic Leadership Academy™ or any other program by Transform-X subject to this NDA (the "Program").
2. Purpose
Transform-X provides the Client access to proprietary coaching methodologies, materials, and processes, as part of its Programs. This Agreement ensures that all such materials remain confidential and are not disclosed, copied, or used outside the scope of the Client's permitted personal use.
3. Confidential Information
3.1 Scope
For the purposes of this Agreement, "Confidential Information" includes but is not limited to:
- All coaching frameworks, exercises, and methodologies used in Transform-X programs, including, but not limited to 1:1 Coaching Sessions, Find your Fire™, and the Mythic Leadership Academy™;
- Proprietary gamification structures, mythological storytelling techniques, and NLP-based exercises;
- Any written, audio, visual, or digital materials, shared before, during or after the Program, including session recordings, slides, workbooks, notes, and supporting documentation;
- Discussions, case studies, insights, strategies, or guidance provided during live or recorded coaching sessions;
- Any notes, summaries, adaptations, prompts, or derivative materials created by the Client that are based on, reflect, or incorporate Transform-X Confidential Information.
3.2 Exclusions
Confidential Information does not include information that the Client can demonstrate:
- Is or becomes publicly available through no breach of this Agreement;
- Was lawfully known to the Client prior to disclosure by Transform-X;
- Is lawfully received from a third party without breach of any confidentiality obligation;
- Is independently developed by the Client without use of, or reference to Transform-X Confidential Information; or
- Is required to be disclosed by law, regulation, or court order, provided the Client gives Transform-X prompt notice where legally permitted.
4. Restrictions on Use
4.1 Permitted Use
- The Client may use Transform-X Confidential Information for personal use only.
- For avoidance of doubt, personal use expressly excludes use with any third party, or within any business, workplace, organisation, whether physical or online.
- Individuals, companies, or institutions wishing to teach, integrate, or apply Transform-X methods must enter into a formal Licensing Agreement with Transform-X. For more information, please visit our Licensing Portal.
4.2 By signing this NDA, the Client agrees NOT to:
- Reproduce, distribute, copy, or share any Transform-X Confidential Information, in whole or in part, in any format (written, audio, digital, visual, AI-generated, or otherwise);
- Record, photograph, screen-capture, screen-record, transcribe, or otherwise document any part of a Transform-X session or any Confidential Information (including live sessions, recordings, exercises, materials, or communications) without prior written consent from Transform-X;
- Use any Transform-X methods, frameworks, or materials for commercial purposes, including coaching, teaching, mentoring, facilitating or training others, whether paid or unpaid, without a formal Licensing Agreement;
- Modify, adapt, or repackage Transform-X methodologies to create derivative works for sale, training, or internal organisational use;
- Disclose proprietary Program content to third parties, including, but not limited to, friends, relatives, colleagues, employers, social media platforms, or any other forum, whether physical or online.
5. Duration & Survival of Obligations
This NDA remains in effect indefinitely.
- All confidentiality and non-use obligations survive the completion, suspension, or termination of the Program and continue even if the Client seases working with Transform-X.
- Upon written request by Transform-X, the Client agrees to promptly delete or return all Confidential Information in their possession or control, except where retention is required by law.
6. Legal Consequences for Breach
If the Client breaches this Agreement, Transform-X reserves the right to pursue all available legal remedies, including, but not limited to:
- Issuing a cease-and-desist notice;
- Seeking injunctive or equitable relief to prevent further unauthorised use or disclosure;
- Seeking financial damages for losses resulting from the breach;
- Pursuing civil litigation under applicable UK intellectual property and contract law.
The Client acknowledges that unauthorised disclosure may cause irreparable harm for which monetary damages alone may be insufficient.
7. Jurisdiction
This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
8. Acknowledgment & Signature
By signing this NDA, the Client acknowledges that they have read, understood, and agreed to it in full.
